The Investment Process

Our collaborative approach to healthcare growth equity makes Galen more flexible than many other venture capital and private equity firms. By working closely together as a team to leverage our experience and insights, we can identify and act quickly on opportunities–especially those that emerge in areas of focus.

 

The growth equity process and timeframe described below may vary depending on a specific investment situation. In cases where an investment opportunity is well developed and a quick response is required, we may undertake an accelerated investment process.

Business Plan Submission

To start the investment process, entrepreneurs may submit a business plan or an offering memorandum.

Introductory Meeting

If the business plan or offering memorandum meets Galen´s criteria, Galen will arrange an introductory meeting, at which time the prospective management team will present its business opportunity. After the introductory meeting, we will begin initial inquiries, and if those prove favorable discussions with management on the key determinants of near and long-term success will proceed over the next 2-3 weeks.

Term Sheet

At this juncture, Galen generally will submit a preliminary term sheet for management´s review.

Business Due Diligence

If the initial investment proposal is mutually acceptable, Galen will then coordinate with the company to conduct thorough business, legal and financial due diligence. This stage of the investment process normally takes 3-4 weeks.

Commitment Committee Meeting

A final commitment committee meeting with the management team and the Managing Directors will take place to evaluate: market opportunity, confidence in management and the potential of the investment proposition to create significant shareholder appreciation.

Final Accounting and Legal Due Diligence

If the investment committee approves the proposed transaction, the process concludes with the completion of confirmatory accounting due diligence legal documentation.
